1. Acceptance of Terms
By accessing or using Dspatcher's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Description of Service
Dspatcher provides a cloud-based customer relationship management (CRM) platform designed for service-based businesses. Our services include job scheduling, dispatch management, technician tracking, customer management, invoicing, and related features.
3. Account Registration
To use Dspatcher, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Subscription and Payment
Dspatcher offers various subscription plans with different features and pricing. By selecting a paid plan, you agree to pay the applicable fees. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.
5. Acceptable Use
You agree not to: (a) use the service for any illegal purpose; (b) transmit any malware, viruses, or harmful code; (c) attempt to gain unauthorized access to our systems; (d) interfere with or disrupt the service; (e) resell or redistribute the service without authorization; (f) use the service to send spam or unsolicited communications.
6. Intellectual Property
Dspatcher and its content, features, and functionality are owned by Dspatcher, Inc. and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our service without our express written permission.
7. Data Ownership
You retain all rights to the data you input into Dspatcher. We will not access, use, or share your data except as necessary to provide the service or as otherwise described in our Privacy Policy. You grant us a limited license to use your data solely for the purpose of providing and improving our services.
8. Service Availability
We strive to maintain 99.9% uptime for our services. However, we do not guarantee that the service will be uninterrupted or error-free. We reserve the right to suspend or terminate the service for maintenance, updates, or other operational reasons with reasonable notice when possible.
9. Limitation of Liability
To the maximum extent permitted by law, Dspatcher shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Dspatcher, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, your violation of these Terms, or your violation of any rights of another party.
11. Termination
Either party may terminate this agreement at any time. Upon termination, your right to use the service will immediately cease. We will provide you with an opportunity to export your data before deletion. Certain provisions of these Terms will survive termination, including intellectual property rights, limitation of liability, and indemnification.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Francisco County, California.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the service. Your continued use of the service after such changes constitutes your acceptance of the new Terms.
